Terms of Engagement
Scope of work
All engagements begin with a written scope document agreed upon by both parties before work commences. No work is performed outside the agreed scope without a written change order. Scope documents are the binding record of deliverables, timeline, and compensation.
Authorization requirement
OSINT and Security engagements require, at minimum, before any work begins:
- A signed authorization letter specifying the target scope
- Verification of the client's authority over the target scope
- Government-issued identification of the authorizing party
Engaging Baud Haus Ops for OSINT or Security services without proper authorization is a breach of these terms and will immediately void the engagement. Baud Haus Ops reserves the right to terminate any engagement and report activities it believes may constitute unauthorized access or illegal activity.
Payment terms
Payment terms are specified in the individual scope document for each engagement. Standard terms are net-15 from invoice date. Late payments accrue interest at 1.5% per month. Hardware procurement, if applicable, is invoiced at cost with no markup; clients may also procure hardware directly.
Intellectual property and ownership
Upon receipt of final payment, the client owns all deliverables including source code, documentation, reports, and configurations produced for their engagement. Baud Haus Ops retains no ongoing rights to client-specific work.
Baud Haus Ops retains ownership of any proprietary tools, methodologies, or general-purpose code not developed specifically for the client engagement.
Confidentiality
Both parties agree to keep confidential any non-public information shared during the engagement. This obligation survives termination of the engagement for a period of three (3) years. For OSINT and Security engagements, confidentiality obligations are indefinite unless otherwise agreed in writing.
Limitation of liability
Baud Haus Ops' total liability for any claim arising from an engagement shall not exceed the total fees paid for that specific engagement. Baud Haus Ops is not liable for indirect, consequential, or incidental damages. Security assessments identify and document vulnerabilities — Baud Haus Ops is not liable for incidents that occur prior to remediation of identified vulnerabilities.
Warranties and representations
Baud Haus Ops warrants that work will be performed professionally and in accordance with the agreed scope. Web deliverables include a Lighthouse 100 guarantee for the pages specified in scope at the time of handover. No warranty is provided for third-party services, platforms, or hardware not under Baud Haus Ops' direct control.
The client represents that they have the legal authority to authorize all requested work, including authority over any systems, data, or individuals that are the subject of OSINT or Security engagements.
Termination
Either party may terminate an engagement with 14 days written notice. The client is responsible for payment of all work completed to the date of termination. Baud Haus Ops may terminate immediately and without notice if the client misrepresents authorization, scope, or identity.
Governing law
These terms are governed by the laws of the State of Oregon, United States. Disputes will be resolved in Lane County, Oregon. If any provision of these terms is found unenforceable, the remaining provisions remain in full effect.
